1. Definitions

• "VerdictTank" or "the Service" — the AI-powered proposal review platform operated by IT Pro Partner
• "IT Pro Partner," "we," "us," or "our" — IT Pro Partner, the company operating VerdictTank
• "You" or "User" — the individual or entity submitting a proposal for review
• "Report" — the PDF analysis generated by VerdictTank in response to a submitted proposal
• "AI Pipeline" — the automated multi-model analysis system that generates Reports

2. Service Description

VerdictTank is an AI-powered platform that analyzes business proposals and generates structured review reports. Reports include research findings, scoring across multiple dimensions, identification of strengths and weaknesses, and a panel-based verdict.

The Service is provided "as-is" and "as-available." We reserve the right to modify, suspend, or discontinue the Service at any time.

3. User Obligations

By using VerdictTank, you agree that:

• You are at least 18 years of age
• You will provide accurate and complete information
• You will not submit proposals containing illegal content, hate speech, harassment, malware, or material you do not have the right to share
• You will not attempt to reverse engineer, abuse, or circumvent the Service
• You are responsible for maintaining the confidentiality of any account credentials

4. AI Processing Consent

By submitting a proposal to VerdictTank, you explicitly consent to the following:

• Your proposal text will be transmitted to third-party AI model providers for automated analysis
• The AI pipeline operates without human review of individual proposals
• AI-generated outputs may contain errors, omissions, or inaccuracies
• The analysis reflects algorithmic assessment at a point in time and is not a guarantee of future outcomes

5. Intellectual Property

5.1 Your Content

You retain all rights to the proposals you submit. By submitting, you grant IT Pro Partner a limited, non-exclusive license to process your content solely for the purpose of generating your Report.

5.2 Our Content

The VerdictTank platform, including its scoring methodology, report templates, branding, and software, is the intellectual property of IT Pro Partner. Reports generated by VerdictTank are licensed to you for your personal or internal business use. You may not resell, redistribute, or white-label VerdictTank Reports without a separate agreement.

6. Payment and Refunds

• Fees are displayed at the time of purchase and are subject to change
• Payment is processed at the time of submission
• Refund requests are evaluated on a case-by-case basis. If a Report fails to generate due to a technical error on our part, a full refund will be issued
• Subscription terms, if applicable, are governed by the subscription agreement presented at signup

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IT PRO PARTNER DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, completeness, or reliability of AI-generated Reports
• Warranties that Report findings will result in business success, funding, or any particular outcome

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IT PRO PARTNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits, revenue, or business opportunities
• Business interruption or reputational harm
• Decisions made or actions taken based on VerdictTank Reports
• Data loss or unauthorized access

IN NO EVENT SHALL IT PRO PARTNER'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC REPORT OR SUBSCRIPTION PERIOD AT ISSUE.

9. Indemnification

You agree to indemnify and hold harmless IT Pro Partner, its owners, employees, and affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Not Professional Advice

VERDICTTANK REPORTS ARE NOT PROFESSIONAL ADVICE. The analysis provided by VerdictTank:

• Is generated by artificial intelligence
• Is for informational and educational purposes only
• Does not constitute business consulting, legal advice, financial advice, or investment advice
• Should not be the sole basis for any business decision

You should consult with qualified professionals before making material business decisions.

11. Privacy

Your use of VerdictTank is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

12. Termination

We reserve the right to terminate or suspend access to VerdictTank for violations of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice on our website. Continued use after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Harris County, Texas.
