Client Agreement · Complimentary Pilot
The agreement template for a founding, complimentary engagement. Client identity withheld.
This Pilot Client Agreement (this "Agreement") is entered into as of [DATE] by and between:
Model Ortho (the "Consultant"), a systems consulting practice operated by Anita Brown through Freedom in Honesty LLC, a Georgia limited liability company; and
Wall Orthodontics (the "Client"), [full legal entity name], located at [address].
1. Purpose and Objective
The Consultant helps orthodontic practices look at their current reality, forecast what is possible, and design the systems that make their goals achievable. The Client has agreed to be the Consultant's first pilot client.
The specific objective of this engagement is to determine what makes it feasible for the Client's owner to reduce to a 3-day or 3.5-day patient week, and to design the schedule architecture and supporting systems that make that reduction sustainable.
2. Engagement
During the Term, the Consultant will provide the following services for the Client:
2.1 Growth and Feasibility Outlook. A working engagement, delivered through facilitated conversation and appreciative inquiry, that maps the Client's current capacity, production, and schedule against the objective in Section 1, and produces a written outlook on what is feasible as the owner reduces patient days. This includes the schedule, production, and staffing conditions required for a 3-day or 3.5-day patient week to hold.
2.2 Schedule Canvas. A schedule architecture designed from the Client's own data, showing the booking rules and capacity structure the Client's goals require. This deliverable is design only. The Client owns implementation and entry into its practice-management system.
The Consultant designs the architecture and decision logic. The Client owns execution, practice-management-system configuration, and day-to-day management.
3. Included and Not Included
Included (architecture and decision logic):
- Capacity, production, and schedule modeling from the Client's historical data
- Schedule architecture and booking rules (design only)
- Growth and forecast modeling
- Schedule recovery analysis
- Workflow and process mapping
- Team systems and calibration design
- Monthly calibration conversations
Not included (execution and administration):
- Entering or editing appointments, check-ins, or waitlists
- Configuring practice-management-system templates or permissions
- Day-to-day office management or routine administration
- Supervising, evaluating, or disciplining staff; hiring; HR matters
- Bookkeeping, accounting, tax, payroll, or collections
- Marketing, lease, or equipment decisions
- IT, network, or security management
4. Pilot Status and Consideration
This is a complimentary pilot engagement. The Client pays no fee for the services in Section 2.
In exchange, the Client agrees to:
- Provide a written testimonial at the conclusion of the engagement
- Permit the Consultant to reference this engagement in an anonymized case study, with no Client identity or patient information disclosed
- Serve as a named reference for future prospects at the Client's discretion
- Provide structured feedback on the Consultant's method so the method improves
5. Term
This Agreement begins on [START DATE] and continues until [END DATE], unless terminated earlier under Section 10.
6. Client Responsibilities
The Client will provide:
- Access to the historical data the modeling requires, including schedule, production, and capacity data
- A decision-maker present for each working session
- A commitment to act on the systems the engagement produces
7. Confidentiality and Data Handling
The Consultant will keep all Client information confidential and will use it only to deliver the services in this Agreement. The Consultant will not disclose Client or patient information outside the engagement except as required by law. The Consultant's data handling practices are described in the attached Data Handling Plan.
All services are advisory. The Consultant does not make clinical decisions and does not provide medical, legal, tax, or accounting advice. If patient information is involved, the Consultant will handle it in accordance with applicable privacy requirements and the Client's direction.
8. Intellectual Property
The Consultant's method, tools, and frameworks remain the Consultant's property. The deliverables produced for the Client, including the written Outlook and the Schedule Canvas, are provided for the Client's internal use. The Client may not resell or redistribute them.
9. Independent Contractor
The Consultant is an independent contractor, not an employee, partner, or joint venturer of the Client. This Agreement does not create an employment relationship.
10. Termination
Either Party may terminate this Agreement on [30] days' written notice. On termination, the Consultant will deliver the work completed to date and will return or destroy Client data at the Client's direction.
11. Limitation of Liability
The Consultant's services are advisory. To the maximum extent permitted by law, the Consultant's total liability under this Agreement is limited to the fees paid under it, which for this complimentary engagement are zero. Neither Party is liable to the other for indirect, incidental, or consequential damages.
12. Insurance
The Consultant is securing professional liability (errors and omissions) and cyber liability coverage. Certificates of insurance will be provided upon issuance.
13. Governing Law
This Agreement is governed by the laws of the State of Georgia.
14. Entire Agreement
This Agreement is the entire agreement between the Parties about the pilot engagement and supersedes any earlier discussions about it.
