The scope, deliverables, and boundaries of a Model Ortho engagement.

This Statement of Work ("SOW") is entered into under, and governed by, the Master Services Agreement between the Parties (the "Agreement"). Capitalized terms not defined here have the meaning given in the Agreement.

1. Engagement Objective

Model Ortho's work is systems consulting for orthodontic practices. Delivery is facilitation-led: Model Ortho works alongside the practice's leaders to look at the practice's reality, forecast what is possible, and build the systems that get the practice there. The practice's team does the work of adoption and execution; Model Ortho guides and supports until the team runs the systems on its own.
2. Service Tier
The Parties agree that this engagement is the following tier (select one):
☐ Strengthen: for a practice with a working schedule and unused capacity. Focus is on strengthening the systems that are already in place so the practice can hold more production with less strain.
☐ Rebuild: for a practice whose schedule or systems are no longer holding. Focus is on rebuilding the core systems of the practice from the current reality forward.
☐ Operational Development: the ongoing, full engagement for established clients. Focus is on continuous improvement and sustained system health over a rolling term.
☐ Growth & Feasibility Outlook: a one-time, time-boxed assessment that shows a practice its current reality and what is possible, delivered as a written outlook rather than an ongoing engagement.
3. Scope of Work
3.1 Facilitated working sessions. Consultant will lead a series of working sessions with the practice's leaders, using a structured, appreciative approach to surface how the practice actually operates today and what would have to be true to reach its goals. Sessions are conversations, not lectures; the practice's leaders set the goals, and Consultant helps them see the systems that will get them there.
3.2 System design and build. Consultant will help the practice design, document, and stand up the systems identified in the working sessions, and will guide the practice's leaders and coordinators as they adopt and run those systems.
3.3 Schedule Canvas (Complimentary add-on for founding clients). For Strengthen and Rebuild engagements signed during the founding-client program, Consultant provides access to the Schedule Canvas, the tool Consultant uses to support practice coordinators in building schedules, at no additional charge for the term of the engagement.
3.4 The Impact Forecaster. Consultant uses the Impact Forecaster in working sessions to show the practice the financial and operational impact of growth targets, efficiency levers, staffing, and modality mix, so decisions are made with the numbers in front of everyone.
3.5 Regular rhythm. The engagement follows a consistent cadence (for example, a facilitated session every other week plus access to Consultant between sessions), so momentum holds and the work does not stall.
4. Deliverables
4.1 Each engagement produces, at a minimum, a documented view of the practice's current reality, a forecast of what is possible, and a written set of the systems and conditions the practice will adopt to get there.
4.2 Deliverables are prepared specifically for Client and, on full payment, are licensed to Client for internal business use as described in the Agreement.

Fees are invoiced as set out in the Agreement. Founding-tier pricing applies while the founding-client program is open and is a discounted rate for the practice's participation as an early client.
6. Schedule and Timeline

7. Client Responsibilities
7.1 Designate a point of contact with authority to make decisions.
7.2 Provide accurate operational data and access to the people and information reasonably needed for the working sessions.
7.3 Ensure the practice's leaders participate in the facilitated sessions; the work is leadership work, not something Consultant performs in the practice's absence.
8. Out of Scope
Unless expressly added in a written amendment or a separate SOW, the engagement does not include:
8.1 Clinical advice or clinical decision-making, which remain the practice's responsibility.
8.2 Legal, accounting, tax, or regulatory advice.
8.3 Staffing, hiring, or direct management of the practice's team.
8.4 Any guarantee of a specific financial, production, or clinical outcome. Results depend on factors outside Consultant's control, including Client's execution and market conditions.
9. Order of Precedence
This SOW supplements the Agreement. To the extent of any conflict, this SOW controls for the specific engagement it describes.
