Terms of Service

1. Introduction

Welcome to LumaCMS ("the Service"), a digital signage content management system operated by IT Pro Partner LLC, 5710 Ogeechee Road, Suite 200-267, Savannah, GA 31405. These Terms of Service ("Terms") govern your access to and use of the LumaCMS platform, website, and related services (collectively, "the Services").

By accessing or using LumaCMS, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

2. Definitions

"Account" means the customer account created to access LumaCMS Services.
"Content" means any images, videos, text, data, or other materials uploaded or displayed through the Services.
"Player" means the hardware device (e.g., Raspberry Pi) used to display Content on screens.
"Screen" means a single display unit managed by the Service.
"We," "Us," "Our" refers to IT Pro Partner LLC.
"You," "Your" refers to the customer or user of the Services.

3. Account Registration

You must create an account to use the Services. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately at support@lumacms.com of any unauthorized use.

4. Subscription & Billing

4.1 Fees

Subscription fees are charged monthly or annually in advance, based on the number of active Screens. All fees are non-refundable except as expressly stated in these Terms. Hardware purchases (Players, accessories) are charged as one-time fees and are non-refundable.

4.2 Payment

Fees are billed via credit card or ACH on the subscription date each billing period. Late payments may result in service suspension after a 7-day grace period. We will notify you before suspension.

4.3 Plan Changes

You may upgrade your plan at any time. Changes take effect immediately and are prorated for the remainder of the billing period. Downgrades take effect at the end of the current billing period.

4.4 Taxes

You are responsible for all applicable taxes. Fees are exclusive of federal, state, and local taxes unless otherwise stated.

5. Service Level

We target 99.9% platform uptime (excluding scheduled maintenance, which we will schedule during off-hours with at least 24 hours notice). Our Services depend on third-party infrastructure (cloud hosting, internet connectivity) beyond our direct control. We will use commercially reasonable efforts to restore service promptly after any outage.

6. Content & Acceptable Use

You retain all ownership rights to Content you upload. You grant us a limited license to store, process, and transmit your Content solely to provide the Services. You represent and warrant that your Content does not violate any applicable law or third-party rights.

You agree not to use the Services for:

Illegal, fraudulent, or deceptive purposes
Displaying obscene, violent, hateful, or discriminatory content
Infringing on intellectual property rights
Distributing malware, viruses, or harmful code
Violating any applicable A2P 10DLC, CAN-SPAM, or TCPA regulations

7. Data & Privacy

We collect and process data as described in our Privacy Policy. We do not sell your personal data. We implement industry-standard security measures to protect your data, including encryption in transit (TLS) and at rest.

8. Hardware

Players (Raspberry Pi units) sold by LumaCMS are warranted against defects for 90 days from delivery. This warranty covers hardware failure only — not damage from misuse, power surges, physical damage, or unauthorized modifications. After 90 days, replacement hardware is available at current pricing.

9. Intellectual Property

The LumaCMS platform, software, branding, and design (excluding your Content) are the intellectual property of IT Pro Partner LLC. You may not copy, modify, reverse-engineer, or create derivative works without our express written consent. You retain all rights to your Content.

10. Limitation of Liability

To the maximum extent permitted by law, IT Pro Partner LLC's total liability for any claims arising under these Terms is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, data loss, or business interruption.

11. Indemnification

You agree to indemnify and hold IT Pro Partner LLC harmless from any claims arising from: (a) your Content, (b) your use of the Services in violation of these Terms, or (c) your violation of applicable law.

12. Termination

Either party may terminate the subscription with 30 days written notice. We may suspend or terminate access immediately for breach of these Terms. Upon termination, your Content will be retained for 30 days for retrieval, after which it will be permanently deleted. Fees paid are non-refundable except as provided in Section 4.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to the account holder 14 days before the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts of Chatham County, Georgia.
